RadarClean Terms of Service
Effective date: [date] · Last updated: [date]
These Terms of Service (the "Terms") are a binding agreement between [RadarClean LLC], a New York limited liability company ("RadarClean," "we," "us"), and the business that creates an account or subscribes to the RadarClean app ("Customer," "you"). The person who accepts these Terms on behalf of Customer confirms that they have authority to bind Customer.
You accept these Terms by checking the acceptance box when you create your account, start a trial or subscribe. If you do not agree, do not use the Service.
These Terms are for business use only. The Service is offered to businesses that provide cleaning or similar services. It is not offered for personal, family or household use.
1. Definitions
- "Service" means the RadarClean web application, its mobile-friendly interface, related features, updates and support, as described on the plan page at the time you subscribe.
- "Customer Data" means all data you or your Users enter into or upload to the Service, including information about your clients, helpers, employees, schedules, payments, messages and vehicle locations.
- "Users" means the people you authorize to access your account, such as owners, managers, office staff and helpers.
- "Order" means the plan, price and billing period you select in the Service or in a written proposal signed by both parties.
- "Data Processing Addendum" or "DPA" means the RadarClean Data Processing Addendum, which is part of these Terms.
2. The Service
2.1 Access. Subject to these Terms and payment of the applicable fees, we grant Customer a non-exclusive, non-transferable right during the subscription term to access and use the Service for its internal business operations.
2.2 Beta features. Features labeled "beta," "preview" or "coming soon" are provided for evaluation, may change or be removed, and are excluded from any availability commitment.
2.3 Changes to the Service. We may improve and change the Service. We will not materially reduce the core functionality of your current plan during a paid term without notice under Section 7.
2.4 Third-party services. Some features connect to services we do not control, such as GPS devices (e.g., Bouncie), payment processors (e.g., Stripe), messaging apps and mapping services. Your use of those services is governed by their own terms. We are not responsible for their availability or acts.
3. Accounts and Users
3.1 You are responsible for:
- keeping login credentials and two-step verification confidential;
- all activity under your account, including by Users you invite;
- removing access for Users who leave your business.
3.2 Each User must have an individual login. Two-step verification is required for owner and manager roles.
3.3 Notify us promptly at [contato@radarclean.com] of any unauthorized use of your account.
4. Free Trial, Plans and Payment
4.1 Free trial. New accounts may receive a free trial of [30] days. Before you are charged, we will tell you the plan, price, billing frequency and how to cancel. At least [3] days and no more than [21] days before the trial ends, we will remind you by email and in the app. If you do not add a payment method and confirm the subscription, the account moves to read-only mode at the end of the trial and nothing is charged.
4.2 Fees. Fees are those shown in your Order. Unless stated otherwise, fees are in U.S. dollars and billed in advance, monthly or annually.
4.3 Automatic renewal. Your subscription renews automatically at the end of each billing period for the same period, and your payment method will be charged the then-current fee, until you cancel. You can cancel at any time as described in Section 6.
4.4 Payment processing. Payments are processed by our payment processor (currently Stripe, Inc.). We do not receive or store your full card number. You authorize us and our processor to charge your payment method for all fees due.
4.5 Taxes. Fees do not include sales, use or similar taxes. We will add applicable taxes based on where you use the Service, as required by law, and show them on your invoice.
4.6 Confirmation. After you subscribe, we will send an email you can keep with the plan, price, billing frequency, renewal terms and how to cancel.
5. Late Payment and Read-Only Mode
5.1 If a payment fails, we will notify you and give you a grace period of [7] days to update your payment method.
5.2 If payment is not received by the end of the grace period, your account will move to read-only mode: you and your Users can view and export Customer Data, download backups and pay, but cannot add or change data. We will not delete Customer Data because of non-payment except as described in Section 15.
5.3 Access is restored as soon as payment is received.
6. Cancellation
6.1 How to cancel. You may cancel at any time, online, from your account (Settings → Subscription), through the same medium you used to subscribe. You may also cancel by email to [contato@radarclean.com]. We will not require a phone call or impose conditions to cancel. We may present an offer or explain the effect of cancellation, but will process your request regardless.
6.2 Effect. Cancellation takes effect at the end of the current paid billing period. You keep full access until then. No further charges will be made.
6.3 Refunds. Fees already paid are non-refundable, except (a) as stated in Section 7.3, or (b) where required by law.
7. Changes to Prices and to These Terms
7.1 Notice. We may change these Terms or our prices. We will notify you of any material change or price increase at least [30] days before it takes effect, by email and by a notice in the app.
7.2 Acceptance. Material changes take effect only after you accept them in the app or continue your subscription after the effective date following the notice.
7.3 Price increases. If we increase the price of your plan, you may cancel within [14] days after the first charge at the new price and receive a pro-rata refund of the unused portion of that billing period.
7.4 Plan prices offered as "founder" or "beta" prices will be honored for the period stated in your Order.
8. Customer Data
8.1 Ownership. As between the parties, Customer owns all Customer Data. We obtain no ownership rights in it.
8.2 Our use. You grant us a limited license to host, copy, process, transmit and display Customer Data only as needed to provide, secure, support and improve the Service, to comply with law, and as described in the DPA. We process Customer Data as your service provider and processor, following your instructions as set out in these Terms and the DPA.
8.3 No sale. We do not sell Customer Data and do not use it for advertising.
8.4 Your responsibilities. You are responsible for the accuracy of Customer Data and for having all notices, consents and rights needed to provide it to us and to use it in the Service, including with respect to your clients and workers.
9. Conflict of Interest Disclosure and Safeguards
9.1 Disclosure. RadarClean's founder also owns and operates a residential cleaning business in the State of New York ([Golden House Cleaning]), which may compete with Customer.
9.2 Safeguards. We commit that:
- (a) Customer Data is logically separated from the data of every other customer, including that business;
- (b) we will never use, disclose or access Customer Data for the benefit of any other customer or of that business, including client lists, prices, schedules or contact information;
- (c) we will never contact Customer's clients, except through a separate written service agreement that Customer signs (for example, the RadarClean Atende service);
- (d) the safeguards in Section 10 apply to all RadarClean personnel, including the founder.
9.3 A breach of this Section 9 is a material breach of these Terms.
10. Who Can See Customer Data
10.1 Platform team. RadarClean personnel using our administrative tools can see only account-level information: business name, addresses (domains), Users (name, email, role, two-step status), number of active Users and last access, billing status, and anonymized support cases. They cannot see your clients, schedule, payments, messages or GPS data through those tools. Every access to your account record is logged in your account's audit log.
10.2 Support access. Our team can see or change Customer Data only when an owner of your account grants support access in the app, for the period the owner selects (for example, 1, 7 or 30 days). While support access is active:
- our team can act only within the areas allowed for support (for example, clients, imports, schedule, staff, prices and payments received);
- our team cannot access client messages, GPS data, Users, backups, audit logs or billing;
- every action is recorded in your audit log and shown to the owner;
- the owner can end support access at any time, and access ends automatically when the period expires.
10.3 Assisted import. If you send us files and authorize us to review them, we will access only those files, for up to [14] days, and delete them when the import is completed, cancelled or expires.
10.4 Legal requests. We may disclose Customer Data if required by law or valid legal process. Where legally permitted, we will notify you first.
11. Anonymized and Aggregated Data
We may create and use data that has been anonymized and aggregated so that it does not identify Customer, its clients, its Users or any individual ("De-identified Data"), for example to build the shared library of suggested replies, to measure product performance and to improve the Service. We will not attempt to re-identify De-identified Data, and we will not share De-identified Data in a way that identifies Customer or reveals Customer's prices, clients or volumes.
12. Artificial Intelligence Features
12.1 The Service uses artificial intelligence (currently provided through Cloudflare Workers AI) to translate messages and suggest replies.
12.2 Drafts only. Translations and suggested replies may be inaccurate. They are drafts. You are responsible for reviewing any message before you send it and for its content.
12.3 No third-party training. We do not permit our AI providers to use Customer Data to train their general models, to the extent our providers' terms allow us to control this. We do not use identifiable Customer Data to train models.
13. Location Tracking, Messaging and Your Legal Obligations
13.1 GPS. If you use location features:
- you will install tracking devices only in vehicles you own or lease, or with the documented, informed consent of the vehicle's owner;
- you will give your workers any notice required by law (for example, New York Civil Rights Law §52-c) and obtain their written or electronic acknowledgment; the Service provides a template notice for your convenience, which is not legal advice;
- you will use location data only for legitimate business purposes, such as routing, time at each job and payroll.
13.2 Messages and online quotes. You are responsible for having the consent required by law (including the Telephone Consumer Protection Act and carrier rules) before sending texts or messages to your clients, for honoring opt-out requests (for example, "STOP"), and for the content you send. If you enable the public quote page, you are responsible for the prices and commitments you confirm to your clients.
13.3 Employment and tax matters. You are solely responsible for how you classify and pay your workers and for your tax and licensing obligations.
14. Acceptable Use
You will not, and will not allow anyone to:
- use the Service in violation of any law, or to send spam or unlawful messages;
- upload content that infringes others' rights or contains malware;
- attempt to access other customers' data, probe or bypass security, or overload the Service;
- copy, resell, sublicense, frame or reverse engineer the Service, except as permitted by law;
- use the Service to build a competing product;
- upload government ID numbers, full payment card numbers or bank account numbers of your clients or workers, except in fields we designate for that purpose.
15. Data Export, Retention and Deletion
15.1 Export. You may export Customer Data at any time from the app (for example, CSV exports and account backup).
15.2 After cancellation or termination. Your account remains in read-only mode for [30] days after the end of your subscription so you can export Customer Data. After that, we delete Customer Data from the live Service. Copies in our backups are deleted on their regular schedule, within [90] days, and are protected while they exist.
15.3 We may keep limited records as required by law (for example, billing records) and De-identified Data.
16. Availability and Support
16.1 We aim to keep the Service available 24/7, except for scheduled maintenance and events outside our reasonable control. We do not guarantee uninterrupted availability.
16.2 Support is provided in Portuguese, English and [Spanish, when available], by email and [WhatsApp], on business days, [9 a.m.–6 p.m. Eastern Time].
16.3 We back up Customer Data daily. You are encouraged to keep your own exports.
17. Warranties and Disclaimers
17.1 We will provide the Service in a professional manner, consistent with these Terms and the DPA.
17.2 EXCEPT AS STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
17.3 Not professional advice. Calculations, reports and numbers shown in the Service (including prices, profit per job, payroll amounts and time estimates) are tools to help you manage your business. They are not legal, tax, accounting or employment advice. You are responsible for decisions you make using them.
18. Limitation of Liability
18.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THEIR POSSIBILITY.
18.2 EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO RADARCLEAN IN THE [12] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
18.3 The limits in this Section do not apply to (a) Customer's payment obligations, (b) a party's indemnification obligations, (c) a breach of Section 9 (Conflict of Interest Safeguards), or (d) liability that cannot be limited by law.
19. Indemnification
19.1 By Customer. Customer will defend and indemnify RadarClean against third-party claims arising from Customer Data, Customer's use of the Service in violation of law or of these Terms (including messaging without consent and location tracking without required notice or consent), or Customer's relationship with its clients and workers.
19.2 By RadarClean. RadarClean will defend and indemnify Customer against third-party claims that the Service, as provided by us, infringes a U.S. intellectual property right, and against claims arising from RadarClean's breach of Section 9.
19.3 The indemnified party must promptly notify the other party, allow it to control the defense and reasonably cooperate.
20. Security and Incident Notice
20.1 We maintain reasonable administrative, technical and physical safeguards designed to protect Customer Data, as described in the DPA, including two-step verification, encryption of sensitive fields, logical separation between customers, daily backups and audit logs.
20.2 If we confirm a security incident affecting Customer Data, we will notify Customer without undue delay and in any event within 72 hours of confirmation, and provide the information Customer reasonably needs to meet its own legal obligations.
21. Term and Termination
21.1 These Terms apply from acceptance until your subscription ends.
21.2 Either party may terminate for material breach that is not cured within [15] days after written notice. We may suspend access immediately if necessary to prevent harm to the Service, other customers or third parties, or as required by law, and will tell you why.
21.3 Sections 8, 9, 11, 15, 17, 18, 19, 22 and 23 survive termination.
22. Governing Law and Disputes
22.1 These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.
22.2 Any dispute will be resolved exclusively in the state or federal courts located in [Saratoga County], New York, and each party consents to their jurisdiction. Either party may bring an eligible claim in small claims court.
22.3 Before filing a claim, the parties will try in good faith to resolve the dispute for [30] days after written notice.
23. General
23.1 Entire agreement. These Terms, the DPA and your Order are the entire agreement between the parties about the Service.
23.2 Order of precedence. If there is a conflict: a signed Order first, then the DPA (for data matters), then these Terms.
23.3 Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of substantially all of its business, with notice.
23.4 Notices. We will send notices to the owner email on your account. You may send notices to [contato@radarclean.com] or [mailing address].
23.5 Language. These Terms are written in English, and the English version controls. Translations (including Portuguese and Spanish) are provided for convenience.
23.6 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
23.7 Independent parties. The parties are independent contractors.
23.8 Severability and waiver. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
